This structure?enables an operating mechanism with a clear division?among ownership, decision-making, supervision,?and management rights, allowing them to function?independently while ensuring efficient operations. The?General Meeting of Shareholders, Board of Directors,?and management team strictly adhere to their?responsibilities outlined in the Articles of Association,?exercising their respective rights and fulfilling?corresponding obligations. Moreover, we leverage the?roles of the standing committees and independent?directors within the Board of Directors to protect the?legitimate rights and interests of shareholders and?the Company, ensuring the Company's long-term and?robust development.
Governance Structure
CTGI has established a corporate governance framework comprising the General Meeting of Shareholders, the Board of?Directors, and the management team.
The General Meeting of Shareholders, serving as the?highest governing body of the Company, is entitled to the?decision-making rights as stipulated by laws, regulations,?and the Articles of Association. We convene and hold?General Meetings of Shareholders in strict accordance?with the provisions and requirements outlined in the?Articles of Association, ensuring the legitimate rights?and interests of all shareholders are protected and that?they are treated equally so they can fully exercise their?rights. In 2024, the Company held 3 General Meetings of?Shareholders, reviewing 7 agenda items.
